TRANSMILE GROUP BERHAD (“TGB” OR “THE COMPANY”) -STRIKING-OFF OF TRANSMILE (PHILIPPINES) SDN. BHD. AND TRANSMILE (INDONESIA) SDN. BHD., WHOLLY-OWNED SUBSIDIARIES OF TRANSMILE AIR SERVICES SDN. BHD. (“STRIKING-OFF”), 8 March 2010


The Board of Directors of TGB wishes to inform that following applications to the Companies Commission of Malaysia (“CCM”) pursuant to Section 308 of the Companies Act, 1965 for Striking-Off of Transmile (Philippines) Sdn. Bhd. (“TPSB”) and Transmile (Indonesia) Sdn. Bhd. (“TISB”), both wholly-owned subsidiaries of Transmile Air Services Sdn. Bhd. (also a wholly-owned subsidiary of TGB) (“TAS”), TPSB and TISB had received Notices dated 28 February 2010 and 2 March 2010 respectively pursuant to Section 308(2) of the Companies Act, 1965 that the applications have been approved and TPSB and TISB shall be struck-off from the register of the CCM at the expiration of three (3) months from the date of such notice.

TPSB and TISB were incorporated in Malaysia on 15 December 1997 with an issued and paid-up share capital of RM2/-each . TPSB and TISB have not commenced operations since their incorporation.

The Stiking-Off has no material effect on the earnings and net assets per share of the Company for the financial year ending 31 December 2010.

Upon completion of the Striking-Off, TPSB and TISB shall cease to be wholly-owned subsidiaries of TAS and sub-subsidiaries of TGB .
